This most important Terms & Conditions, Special Terms and Condtions along with the terms and Conditions mentioned in the Bidde's Udertaking Form shall form an integal part of the terms of the Auction made through the e-auction portal, http://iquippo.com and/or mobile application and related websites and applications ("Auction Portal") of iQuippo Services Limited ("Auctioneer")
The Asset(s)'s put up in the Auction are to be sold on "AS-IS-WHERE-IS" and "AS-IS-WHATS-IS" and "WHATEVER-THERE-IS" and ON NON RECOURSE BASIS only.
It shall be the duty of the Bidder to inspect the Asset(s) as there may be missing parts/equipment and to ensure complate satisfaction and knowledge about the the condition of the Asset(s) being sold. taxes and duties, local working condition and other extaneous factors before placing the bid for the Auction.
Physical evaluations of Asset may be undertaken the Bidder, upon request to the Auctioner/Seller. The Principle of Caveat Emptor (let the buyer beware) shall apply to the Auction, No complaints grievances by the Bidder shall be entertained by the Auctioner or/and seller after the Auction on the Auction on the ground that certain information about the Asset(s) were not know, including issues/queries pertaining to Tax Liability, RTO Expenses, warranty or Guarantee of the of the quality, quantity, measurement, condition, defect in any item/s or lot/s, etc. For veiwing the Asset(s), Bidders may please contact the Auctioner (iQuippo) for gate pass. Bidder are advised to obtain all relevant information before bidding and during the inspection of the Assets.
Some of the Assets may have inspection report made by third parties. Bidding are requested to visit the website of the Auctioneer to check for the inspection report or contact the customer care for valuation. These information provide arw for reference only and shall not absolve the duty of the Bidder to inspect the Asset(s).
Registration for the Auction can be done online through the Auction Portal wherein the Bidder Undertaking Form (a copy of which forms an integral part of this Auction Catelogue) would be generated against each Auction once the Bidder pays the required earnest money deposit ("EMD") against that particular Auction.
After making the payment of the EMD, the Bidder Undertaking Form would be sent to the Bidder's registered mail id, To access the Bidder Undertaking Form, the Bidder needs to open the same using the via OPT(s) sent to the Bidder's registed email and which the Bidder is requested to carefully review the Bidder Undertaking Form and digitally sign (electronically authenticate) the same by using OTP verification and click on "Done/Submit", which shall be legally binding on the Bidder.
A copy of E-signed/E-Authenticated Bidder Undertaking Form would be sent to the registered mail id of the Bidder as well, The above is applicable for online as well as Live Auction and we recommend the Bidder to use the payment gateway (CC Avenue) for making EMD payment, In case the payment is not being used the Bidder he can transfer the EMD by way of RTGS/NEFT/DD in favour of iQuippo Services Limited.
Bidders are required to submit/ upload the following documents along with system generated Bidder Undertaking.
- Copy of PAN Card-Mandatory
- Copy of Aadhaar Card-Mandatory
- GSTIN-Optional
In case of Live Auction, Bidders can also register themselves at auction venue registration desk on the auction day, with self attested KYC Documents.
For E-Auction Bidders shall be quoting from their own offices/ place of their choice. Internet connectivity and other paraphernalia requirements shall have to be ensured by Bidders themselves.
Please note that failure of Internet connectivity (due to any reason whatsoever it may be) shall be sole responsibility of Bidders and neither the Seller nor iQuippo shall be responsible for these unforeseen circumstances.

Bidding Bid : Once the Bid has been submitted by the Bidder, the same cannot be cancelled/withdrawn and the Bidder shall be bound to buy the Asset(s) at the final Bid Amount offered by Bidder, if approved.
Forfeiture/Penalty : Entire EMD Paid by a successful Bidder may be forfeited and/or will be blacklisted including blocking of user ID and preventing from bidding in any conducted by the Auctioneer may be done for the following reasons, including for breach of terms of the Bidder Undertaking:
- Non-payment of the full Bid Amount for any one or more than one Asset(s) bid by the Bidder in the Auction
- Non-payment of the full Bid Amount within the stipulated payment Timeline as mentioned in this Auction Catelogue
- Failure to lift the Asset(s) within the stipulated timelines
REFUND
The EMD for unsuccessful Bidder shall be refunded by Auctioneer/Seller, as the case may be, in the respective bank account of the Bidder as declared in the Auction Registration Form pr to the virtual Wallet of the Auctioneer (iQuippo) which can be used for future auction, on request of the Bidders. The Bidders will not be entitled to claim any interest, costs, expenses and any other charges (if any) on the END from the Auctioneer/Seller.
EMD ADJUSTMENT
The Successful Bidder's EMD will be blocked against the Asset(s) under Auction till they make full payment of the Bid Amount (along with applicable charges and taxes) for the same.
- EMD Collected Auctioneer :EMD will not be adjusted with the Bid Amount to be paid to the seller. Bidder can get access to participate in the upcoming/schedule sale events with the unutilized EMD which is lying with iQuippo or may request for refund.
- EMD Collected by Seller : If theEMD is collected by the seller, seller may adjust the EMD with the final Bid Amount for Successful Bidder.
Approval status/LOA will be intimated by iQuippo to the Successful Bidder on behalf of and on confirmation of the Seller through E-mail/SMS within 30 working days from the Auction was concluded or calender month end in which the Auction was concluded, whichever is later.
Payment deadline is strictly within 7 working days from the date of LOA or within the month end in Auction was concluded, whichever is earlier or within the specified mentioned the LOA. Successful Bideer shall also be required to pay applicable Buyer's Premium along with the taxes (to the Auctioneer (as included within the bid Amount) ("Buyer's Premium:"))
No cheque will be entertained, Bidders shall deposit the Bid Amount payment by Demand Draft/Pay Oder/Banker's Cheque/RTGS/online payment gateway in the following ratio:
- Buyer's Premium to the Auctioneer
- Remaining amount to the Seller and the Release Order will be issued by the Seller itself.
In case of purchase/sale of assets for an invoice value exceeding Rs 10 Lakhs, TCS@ 1% is applicable.
Please note that the GST is applicable on the Assets purchased by you as per applicable lay which will be paid by the Successful Bidders. GST will be calculated as per Seller's calculation mecharism However, the Seller's may or may not provide any GST invoice.
The GST may be inclusive or exclusive of bid price. Please check with Seller(s) or 'Asset List' before participating in the Auction.
Successful Bidder shall be required to submit such other documents as required by the Seller, (for eg, Indemmity Deed/Buyer's Undertaking, etc. on nortarised non0judicial stamp paper) to get Release Order along with post sale documents, The format shall be provided by the Seller once Sale proceed has been received by the Seller.
After receipt of of total Bid Amountfrom the Successful Bidder, Seller shall release the Release Order (DO) of the Asset in ther name of the Successful Bidder only.
Payment must be done from Successful Bidder's A/C only. No third party payment will be accepted by the seller.
For HDFC asset, Lifting Period shall be 2 working days from the date of the release Oder and for other Seller's asset Lifting Period shall be within 7 days from the date of the Release Order, If there is delay in taking delivery after the mentioned date on the Release Order, the Bidder shall be liable to take delivery from each yard at its own costs and risk.
Neither Seller/Yard nor the Auctioneer will be responsible for the upkeep, maintenance or security of the Assets after the due date for lifting pf the Asset(s) as mentioned in the Release Order. if the Successful Bidder doesn't take delivery of the Asset within the 30 days from the date of the Release Order the Seller may reject the sale and sell the asset to another Bidder and the Bid Amount/EMD may be forfeited without any intimation, And in such cases, the Bidder's claim on the said Asset will cease to exist.
On refusal to list and /or Non-payment within payment deadline by the H1 Bidder, the Seller reserve the right to sell the said asset/lot to any other party/parties as per their discretion. In such cases, the entire amount paid by the Successful Bidder shall be forfeited without any intimation and the User ID may be blocked.
NOC and relevant post sale documents pertaining to the Auction lots will be released by Seller in their normal course, which Bidders are advised to take note of, Sale documents will be executed by the seller in the name of the Successful Bidder only and will not be issued ant other name(s) or ant thied party.
Original/Copy of invoice, RC, TAX, Permit, Insurance, Form-36 & any other additional RTO Docs may not be available, Insurance of Form-35&36 is Seller specific Sale/GST invoice may not be provide by all Sellers, however Sale Letter will be issued on these cases subject to receipt from Bidder. Please confirm with the respective Seller before Bidding. Contact details of Seller will be provided on request. The right, title and ownership in the Asset(s) shall pass to successful Bidder/Purchaser only on payment of the full purchase price (including the bid amount, commission, fees, parking charges, upkeep charges, TCS and applicable taxes) has been made to seller within the stipulated time.
The Bidder understand that the Auction and transfer of the Asset may be subject to the directions/confirmation/orders passed by competent courts and the Bidder agree to all risks or material considerations associated with it.
The Bidder understands and agrees that the Seller shall have the right to cancel or postpone the Auction any time without assigning ang reason thereof, incliding after receipt of the Bid Amount from the Successful Biider. However, in such cases the Seller shall refund the entire amount received, without any interest or compensation.
Any dispute, differences and/or claim arising between the Parties under this Auction Calalogue and Auction shall be settled by arbitration in accoradance with the provision of the Arbitration and Concilation Act, 1996 or any statutory amendments thereof by sole arbitrator to be appointed mutually by the Bidder and iQuippo. the said Arbitration proceeding will take place at Kolkata. The Language of the arbitration shall be English and the award given by the said sole arbitrator shall be final and binding on all the Parties.
Subject to the above, the parties hereto agree that only the courts and tribunals in Kolkata shall have exclusive jurisdiction in case a dispute arises out of the terms and conditions or its interpretation.
This Special Terms and Conditions shall form an integral part of the terms and conditions for the Auction. In case of any conflict between the terms of the Special Terms and Conditions, Most Important Terms and Conditions and Bidder's Undertaking the terms of the Special Terms and Conditions shall prevail.
1) Bid is for basic price only. All applicable taxes are extra as applicable at the time of invoice.
2) All Assets shall be sold strictly on "AS IS WHERE IS BASIS" and on "GROUND CLEAN BASIS".
3) Cutting / Dismantling (if required), Collection, Loading and Transportation of above materials will be arranged by contractor at contractor cost & risk.
4) 100% advance along with applicable taxes & duties shall be paid before lifting the Asset by the buyer
5) Contractor / buyer has to follow the Adani Group Safety and Security rules and regulations. Labor license, WC Policy as per applicable law and rule thereof will be arranged by the Contractor and copy of the same need to be provided to Adani group’s respective plant location. To provide WC policy without fail before start of the job.
6) Insurance: Purchaser Scope.
7) Adani Group reserves the right to reject any / all offer(s) without assigning any reason whatsoever.
4. Penalty:
i. In case Bidder fails to lift the material within the scheduled time, seller may at its discretion extend the period for such non-lifted item/s by levying ground rent @ 1% per day of the total Sale value with GST of such non- lifted item or part thereof for such delayed period, subject to maximum extension of one week.
ii. In case of extension of time, Bidders shall submit request to seller minimum 4 days before completion of lifting period. No more extension will be given beyond one week.
iii. No further extension will be given under any circumstances other than mentioned in lifting period and on expiry of the extended period as mentioned in point no. I above, EMD shall stand forfeited without any further notice or any communication.
5. Forfeiture of EMD: In the event of failure of Bidder to pay advance amount or back out after issuance of Sale order intimation to Successful Bidder, then EMD amount shall be forfeited for respective Lot/items.
6. Lifting Period: Within Thirty (30) working days from the date of Sale Order or Custom clearance, whichever is later.
7. Payment terms: 100% advance payment along with applicable taxes & duties shall be paid by Purchaser within 10 working days from the date of Sale order or Custom clearance (if applicable), whichever is later.
8. All Taxes & Duties i.e. Custom duty, custom clearance, IGST shall be in Purchaser’s scope.
9. Bid Validity: Thirty (30) working days from the date of Forward e-auction.
10. Inspection of available asset is mandatory for each bidder before participation in Forward e-auction.
11. RC Book transfer, Insurance transfer and all other RTO transfer activities & documentation shall be in the scope of Purchaser. All these RTO & Insurance related formalities shall be completed by Purchaser before lifting of assets from seller site at his risk and cost. RC Book transfer proof, Insurance transfer proof and all other RTO related transfer documents shall be submitted by Purchaser to seller for obtaining lifting clearance.
